1) Introduction and acceptance of terms
These Terms of Service (the "Terms") govern your access to and use of the GEENXT website at geenxt.com (the "Website") and the GEENXT application, dashboard, and AI-agent services (together, the "Service"), provided by GEENXT ("GEENXT", "we", "us", or "our"). By accessing the Website, creating an account, or using the Service, you ("you", "Client", or "user") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Website or the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. These Terms do not, by themselves, create a separate client, support, or paid service agreement beyond what is stated here.
2) Definitions
- "Service" — the GEENXT application, client dashboard, subscription plans, and the AI agent that performs WordPress support, development, and maintenance tasks.
- "Website" — the public GEENXT website, including informational, educational, advertising-supported, affiliate-supported, and service-related content.
- "Account" — the registered account you create to access the Service.
- "Agent" — the automated AI system that, when authorized by you, accesses and performs actions on a Connected Site.
- "Connected Site" — a WordPress website you link to your Account so the Agent may perform authorized work on it.
- "Plan" — the subscription tier you select (Free, Basic, Standard, Professional, or Premium), each with its own usage limits.
3) About GEENXT and description of the Service
GEENXT operates as a website-services business specializing in WordPress support, development, maintenance, and performance work. In addition to the public Website (which publishes informational, educational, advertising-supported, and affiliate-supported content), GEENXT provides a subscription Service through which Clients connect their WordPress sites and use an AI agent to request and perform website tasks. We may add, change, suspend, or discontinue features of the Service at any time. We are not liable for any modification, suspension, or discontinuation of the Service or any part of it.
4) Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service.
You may register with an email address and password or by signing in with a third-party identity provider such as Google. You are responsible for the accuracy of the information you provide.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. Notify us promptly at support@geenxt.com of any unauthorized use.
One person or entity may not maintain more than one Account without our consent, and you may not share Account access except as permitted by your Plan.
5) Plans, billing, and payments
The Service is offered under tiered subscription Plans (Free, Basic, Standard, Professional, and Premium). Each paid Plan is billed at the price and on the interval shown at sign-up and on the Website, and each Plan is subject to usage limits, including a rolling agent-token usage limit and a maximum number of Connected Sites. Current Plan features, prices, and limits are presented during checkout and may be updated from time to time.
- Payment. Paid Plans are paid through the third-party payment method indicated at checkout (for example, PayPal). GEENXT does not itself store your full payment-card details.
- Activation. Access to paid features begins after we verify your payment and activate your Account. Activation is performed manually by our team after payment is confirmed, so there may be a short delay between payment and activation. The Free Plan activates immediately.
- Renewal and price changes. Unless stated otherwise at checkout, paid Plans continue until cancelled. We may change Plan prices or limits prospectively; changes take effect on your next billing cycle, and continued use after a change constitutes acceptance.
- Taxes. Prices are exclusive of any taxes, levies, or duties, which are your responsibility except for taxes on our net income.
- Refunds. Except where required by applicable law, fees are non-refundable, and partial-period fees are not prorated on cancellation.
6) The AI agent and Connected Sites
The Service lets you authorize the Agent to access and perform work on your Connected Sites. By connecting a site and granting scopes, you represent that you own the site or are authorized to permit this access, and you instruct and authorize GEENXT and the Agent to act on that site on your behalf.
The Agent acts only within the scopes and capabilities you grant, and subject to any global controls we maintain (including a read-only mode that can prevent site modifications).
You remain the owner of, and are solely responsible for, your Connected Sites and their content, including compliance with all laws and third-party terms applicable to them.
You are responsible for maintaining your own backups. While the Service may offer backup features on certain Plans, you should keep independent backups before authorizing significant changes.
Agent output is generated by automated systems and is provided without any guarantee of correctness, completeness, or fitness. You are responsible for reviewing agent actions and results, including any available plan-review step, before relying on them.
You must not use the Agent to access, modify, or interact with any website or system you are not authorized to control.
7) Acceptable and proper use
You agree to use the Website and Service lawfully and not for any unlawful, abusive, fraudulent, infringing, or harmful purpose. Without limiting the foregoing, you must not:
- Attempt unauthorized access to the Service, other accounts, or any systems or networks; disrupt or interfere with the Service; or probe, scan, or test its vulnerability without authorization.
- Use the Agent to create, distribute, or facilitate malware, spam, phishing, unlawful, defamatory, or infringing content, or content that violates the rights of others.
- Copy, scrape, reverse engineer, decompile, or create derivative works of the Service, or resell or sublicense the Service, except as expressly permitted.
- Circumvent or exceed usage limits, rate limits, or Plan restrictions, or share access in violation of your Plan.
- Attempt unauthorized access to the Website, admin areas, connected systems, or related infrastructure, or disrupt, disable, overload, probe, or interfere with the Website's security, performance, functionality, navigation, ads, analytics, or availability.
- Use contact details, forms, or website systems to send spam, unsolicited promotions, or malicious communications.
- On the Website's advertising-supported pages, generate invalid clicks, artificial traffic, or other activity that violates Google AdSense Program policies or Google Publisher Policies (see Section 11).
- Tamper with, bypass, hide, or interfere with cookie banners, consent controls, ad-disclosure labels, or required regulatory notices on the Website.
We reserve the right to monitor and to restrict, suspend, or terminate activity that appears abusive, unlawful, or inconsistent with these Terms or with advertising and site-integrity standards.
8) Intellectual property and copyright
Unless otherwise stated, GEENXT owns or controls the Service and the Website, including their original content, software, branding, design elements, layout, and other materials. Except for the rights expressly granted here, no rights are transferred to you. Unauthorized reproduction, distribution, or commercial exploitation of GEENXT's protected materials is prohibited.
Your content. You retain ownership of your Connected Sites and the content, data, and materials you provide ("Your Content"). You grant GEENXT a limited, non-exclusive license to host, access, process, and modify Your Content solely as needed to provide the Service and perform the tasks you request.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.
Copyright complaints. If you believe content on the Website or Service infringes your copyright, contact us at support@geenxt.com with: identification of the work, identification of the allegedly infringing material and its location, your contact details, a good-faith statement, and a statement (under penalty of perjury) that you are authorized to act. We will review and respond, and may remove material and, where appropriate, terminate repeat infringers.
9) No professional advice; no guaranteed outcome
Website and Service content — including Agent output — is provided for general and informational purposes and does not constitute legal, financial, security, or other professional advice unless separately confirmed by us in writing. We do not guarantee that content or Agent output will be complete, current, error-free, secure, or suitable for any particular purpose. You are responsible for evaluating suitability before relying on it.
We aim to keep the Website useful and accurate, but content may be updated, revised, removed, consolidated, redirected, noindexed, monetized, demonetized, or reorganized at any time for editorial, business, technical, legal, advertising-policy, or compliance reasons. 10) Third-party services, advertising, and affiliate links
The Website and Service rely on and link to third-party platforms operated independently of GEENXT, including hosting and database providers, payment providers, identity providers, AI/LLM providers, email providers, and advertising and affiliate partners. Your use of a third-party service is governed by that party's terms and privacy policy. GEENXT is not responsible for third-party offers, claims, representations, landing pages, or conduct.
Display advertising appears on substantive editorial or informational pages of the Website that remain useful without advertising, consistent with the Monetization Disclosure. Legal, service, contact, policy, archive, search, tag, category, utility, popup, email, private communication, and other non-content screens do not intentionally include display ads — this Terms of Service page is intended to remain free from display ads. Interactions with advertisers or affiliates are solely between you and those parties. See the Monetization Disclosure for details.
11) Advertising conduct and user responsibility
GEENXT never asks, encourages, rewards, or incentivizes visitors to click ads, view ads, refresh pages, or generate ad impressions. You are not required to click, view, or interact with any ad to access legal pages, policy pages, service pages, contact forms, blog content, or GEENXT services.
Ad labels use clear wording such as "Advertisements" or "Sponsored Links" and do not misrepresent ads as navigation, editorial recommendations, required actions, download buttons, system alerts, or site functionality.
You must not generate invalid clicks, artificial impressions, or other traffic that violates Google AdSense Program policies or Google Publisher Policies. For more detail, see the Monetization Disclosure and the Privacy Policy.
12) Confidentiality
When providing the Service we may receive access to Client-owned systems, credentials, website content, project details, or operational data. We treat that access as confidential and use it only for agreed service delivery, support, troubleshooting, maintenance, security, and related operational work, as further described in our Privacy Policy.
13) Disclaimer of warranties
THE WEBSITE AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GEENXT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AGENT OUTPUT WILL MEET YOUR REQUIREMENTS.
14) Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GEENXT AND ITS OWNERS, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE WEBSITE, THE SERVICE, AGENT ACTIONS, OR THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO GEENXT FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15) Indemnification
You agree to indemnify and hold harmless GEENXT and its owners and personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to Your Content, your Connected Sites, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
16) Suspension and termination
You may stop using the Service and cancel your Plan at any time. We may suspend or terminate your access, with or without notice, for breach of these Terms, non-payment, suspected unlawful or abusive activity, or to protect the Service or others. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
17) Changes to the Service and to these Terms
We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes will be indicated as appropriate. Your continued use of the Website or Service after changes take effect constitutes acceptance of the revised Terms. We may also update related advertising, cookie, disclosure, and policy pages as website practices or third-party requirements change.
18) Governing law and dispute resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts of the Republic of the Philippines for any dispute not subject to alternative resolution. You acknowledge that electronic acceptance of these Terms is valid and enforceable under the Philippine Electronic Commerce Act (Republic Act No. 8792). Nothing in this section limits any mandatory consumer rights you may have under applicable law.
